Terms of Service

1. Agreement and operator

These Terms of Service are an agreement between you and the operator of Terrane’s hosted services under the name Sunrise Cloudy, Delaware, United States. By creating an account, purchasing a plan, or using a hosted feature, you agree to these terms and the Privacy Policy.

2. Eligibility

You must be at least 18 years old and legally able to enter this agreement. If you use the service for an organization, you represent that you have authority to bind that organization.

3. Accounts and security

You must provide accurate information, protect your account and devices, and promptly revoke lost devices or report suspected compromise. You are responsible for activity performed through your account unless caused by our breach of these terms or applicable law. We may require additional verification or suspend sessions to protect the service.

4. Local and hosted services

Terrane’s local runtime may continue to operate without a Sunrise Cloudy account. Hosted features are separate services and may depend on connectivity, an active account, device registration, organization permissions, and plan entitlements.

Supported sync and backup content is encrypted before upload. You are responsible for maintaining access to your devices and any recovery material. We may be unable to recover encrypted content if those are lost.

5. Your content

You retain ownership of content you create or upload. You grant Sunrise Cloudy a limited license to host, transmit, reproduce, and otherwise process content only as needed to provide, secure, and support the service, follow your instructions, and comply with law. This license ends when the content is deleted, subject to backup and legal-retention periods.

6. Acceptable use

You may not use the service to:

• Break the law or violate another person’s rights.
• Upload malware or materially disrupt, probe, or bypass service security.
• Access another account, organization, device, or data without authorization.
• Abuse quotas, automated interfaces, marketplace review, or billing systems.
• Publish unlawful, deceptive, infringing, or harmful apps or content.
• Resell the hosted service unless we agree in writing.

7. Marketplace and third-party services

Marketplace apps may be created by third parties. Review, signing, or listing does not make Sunrise Cloudy the developer of an app or guarantee that it will meet your needs. Third-party identity, payment, network, and app services may have their own terms and privacy policies.

8. Plans, billing, and taxes

Paid plans renew for the period shown at checkout until canceled. Prices, limits, and included features are disclosed before purchase and may change prospectively with reasonable notice. You authorize our payment provider to charge applicable fees and taxes. Except when required by law or expressly stated at purchase, payments are non-refundable.

9. Changes, availability, and beta features

We may improve, replace, or discontinue features. We will provide reasonable notice of material changes when practical. Preview, beta, or experimental features may change or stop without notice and should not be used where failure could cause injury or material loss.

10. Suspension and termination

You may stop using the service and request account deletion. We may restrict or terminate access for material breach, unlawful conduct, security risk, nonpayment, or harm to the service or others. When practical, we will provide notice and an opportunity to resolve the issue. Local Terrane data remains governed by your device and is not automatically removed when a hosted account ends.

11. Disclaimers

To the extent permitted by law, the hosted service is provided “as is” and “as available.” Sunrise Cloudy disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these terms excludes warranties or rights that cannot lawfully be excluded.

12. Limitation of liability

To the extent permitted by law, Sunrise Cloudy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, goodwill, use, or data. Sunrise Cloudy’s aggregate liability arising from the hosted service will not exceed the greater of the amount you paid for the service during the twelve months before the event giving rise to the claim or 100 U.S. dollars. These limits do not apply where prohibited by law.

13. Governing law and disputes

Delaware law governs these terms without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction, except where consumer law gives you the right to bring a claim elsewhere. Before filing a claim, please contact us so we can try to resolve the dispute informally.

14. Changes and contact

We may update these terms. Material changes will apply prospectively, and we will provide notice when required. Continued use after the effective date constitutes acceptance where permitted by law. Questions can be sent to [email protected].
